1. Who these terms are between
These Terms of Service (“Terms”) are an agreement between Requestpack (“we”, “us”) and the firm that signs up for Requestpack (“you”, “your firm”). They cover the Requestpack website, app and everything we provide through them (the “Service”).
By creating an account or using the Service, you agree to these Terms. If you sign up for a firm, you confirm that you are allowed to agree on its behalf. If you don’t agree, please don’t use the Service.
The Service is for businesses. It is not meant for personal or household use.
The Privacy Policy, the Data Processing Addendum and the Acceptable Use Policy are part of these Terms.
2. What Requestpack does
Requestpack helps accounting and bookkeeping firms collect documents from their clients. You can send requests that list the documents you need, with reminders for anything still missing, and share an upload page where clients can send files at any time.
We improve the Service over time. We may add, change or remove features. If we remove something important that you rely on, we’ll tell you in advance.
3. Your account
- Give us accurate details when you sign up, and keep them up to date.
- Your plan includes up to 5 staff. Each person signs in with their own email address. Don’t share sign-ins.
- The person who creates the account is the owner. The owner manages the team, the plan and your firm’s settings.
- Keep your sign-in methods (email, passkeys, authenticator app and any password) secure. You are responsible for what happens under your account.
- Tell us straight away at [email protected] if you think someone has got into your account.
4. Your clients
You decide who to send requests to and what to ask for. You confirm that:
- you have a business relationship with the people you send requests and upload links to, and the right to ask them for the documents you request;
- the email addresses you enter are correct; and
- you will handle the documents you receive as the law, your professional rules and your agreements with your clients require.
Your clients use the Service through the links you send. They don’t need an account, and they don’t agree to these Terms. You are responsible for your clients’ use of the Service on your behalf.
5. Price and payment
- Requestpack costs $39 a month for up to 5 staff. The current price is always on our pricing page.
- You pay monthly, in advance, by card. Payments are handled by Stripe. We don’t store your full card number.
- Your plan renews each month until you cancel.
- Prices are in US dollars and don’t include sales tax or similar taxes, which we add where the law requires.
- If we change the price, we’ll email the account owner at least 30 days before it applies to you. The new price starts on your next renewal after that.
- If a payment fails, we’ll email you and try again. If it still hasn’t been paid 14 days later, we may pause your account until it is.
- Your first 14 days are a free trial, and you don’t need a card to start. We won’t charge you unless you add a card and choose the plan.
- To keep using Requestpack after the trial, add a card before it ends. If you don’t, your account is paused: you can still sign in and download everything, but no requests or reminders go out. Thirty days after the trial ends, we delete your firm and everything in it.
- Payments are not refundable, including for part of a month, except where the law requires a refund.
6. Cancelling and closing an account
You can cancel at any time in Settings. Your plan stays active until the end of the month you’ve paid for, and then it ends.
Before then, you can download every file and a spreadsheet of your requests from Settings, Your data. Thirty days after your plan ends, we delete your firm and everything in it, including your clients’ files. After that, we can’t get it back.
We may pause or close your account if you seriously or repeatedly break these Terms, don’t pay, or use the Service in a way that puts others at risk. Unless the problem is urgent or the law prevents it, we’ll tell you first and give you a chance to fix it. If we close your account without a good reason under these Terms, we’ll refund the unused part of the month you paid for.
7. Your data
Everything you and your clients put into the Service, including files, names, email addresses and messages, is your data (“Client Data”). You own it.
You allow us to store, copy, send and display Client Data only as needed to provide the Service to you, keep it secure and meet our legal obligations. We don’t sell Client Data, we don’t use it for advertising, and we don’t use it to train artificial intelligence.
When we handle personal information in Client Data, we do so on your behalf and under your instructions, as set out in the Data Processing Addendum.
Requestpack is not a long-term archive. Keep your own copies of anything you are required to keep, such as records you need for a set number of years.
8. Acceptable use
Use the Service lawfully and as described in the Acceptable Use Policy. In short: only ask for documents from people you work with, don’t send anything harmful, and don’t try to get around our security or limits.
9. Security
We protect the Service and Client Data with the measures described on our Security page and in the Data Processing Addendum. If we learn that Client Data has been accessed without permission, we’ll tell you without undue delay and help you respond.
You are responsible for the security of your own devices and email accounts, and for who you share links and files with.
10. Confidentiality
Each of us will keep the other’s non-public information confidential and use it only for the purposes of this agreement. This doesn’t cover information that is already public, that we already had, or that we must share by law. If the law makes us share your information, we’ll tell you first where we are allowed to.
11. Our property and your feedback
The Service, its software and our name and logo belong to us. These Terms give you the right to use the Service while your plan is active, and nothing more.
If you send us ideas or suggestions, we may use them without owing you anything.
12. Other services we rely on
The Service runs on services from other companies, such as hosting, email delivery and payments. They are listed on our sub-processors page. We are responsible for the parts of the Service they provide for us.
13. Availability and support
We work to keep the Service available at all times, but we can’t promise it will never be interrupted. We may need short breaks for maintenance, which we’ll try to schedule outside US business hours.
For help, email [email protected]. We aim to reply within one business day.
14. What we don’t promise
Apart from what these Terms say, the Service is provided “as is” and “as available”. To the extent the law allows, we make no other promises, including that the Service will meet every need you have or be free of errors.
Requestpack collects documents. It doesn’t check what is in them and doesn’t give tax, accounting or legal advice.
15. Limits on liability
To the extent the law allows:
- neither of us is liable to the other for lost profits, lost revenue, lost business or any indirect, special or consequential loss; and
- each of our total liability under these Terms is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.
These limits don’t apply to your obligation to pay, to your obligations in section 16, or to liability that the law doesn’t allow us to limit.
16. If someone makes a claim against us because of your use
You will defend us against any claim that arises from Client Data you or your clients upload, or from your use of the Service in breach of these Terms or the law, and you will pay any resulting costs and damages a court awards or that you agree to in a settlement. We’ll tell you promptly about such a claim and let you control the defense.
17. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Any dispute will be decided in the state or federal courts located in Wyoming, and both of us agree to those courts.
18. Changes to these Terms
We may update these Terms. If a change matters, we’ll email the account owner at least 30 days before it takes effect. If you keep using the Service after that, the new Terms apply. If you don’t agree, you can cancel before they take effect.
19. General
- These Terms, with the policies they mention, are the whole agreement between us about the Service.
- You may not transfer this agreement without our written agreement. We may transfer it to a company that takes over Requestpack, and we’ll tell you if that happens.
- We send notices by email to the account owner. You can send notices to [email protected].
- If part of these Terms can’t be enforced, the rest still applies.
- If we don’t enforce a part of these Terms straight away, we can still enforce it later.
- Neither of us is responsible for delays caused by events outside our reasonable control.
